YOUR ACCESS AND USE OF WAYPOINTLEGAL.COM CONSTITUTES YOUR AGREEMENT TO BE LEGALLY BOUND BY THE FOLLOWING TERMS AND CONDITIONS:

Unlawful, Deceptive Or Misleading Material.

User shall not publish, upload, submit or distribute any material on WAYPOINTLEGAL.COM which is unlawful, deceptive, misleading, or abusive in any way, including but not limited to material that is defamatory, libelous, pornographic, obscene, threatening, indecent, invasive of privacy or publicity rights, hateful, or would constitute or encourage a criminal offense, violate the rights of any party, contain any corrupted data or malicious code that may impair or alter the appearance or functionality of WAYPOINTLEGAL.COM, or give rise to liability or violate any local, state, federal or international law or regulation, or the rules of any securities exchange such as the New York Stock Exchange or NASDAQ, either intentionally or unintentionally.  At Waypoint’s sole discretion, Waypoint may delete any posted materials, without prior notice or permission.

No Obligation to Monitor.

Waypoint may, but shall not be required to, monitor or screen Posted Materials and it is not responsible for the content in, or linked to or from, Posted Materials.  Additionally, Waypoint reserves the right, but shall not be required to, investigate complaints or reported violations of its Terms of Use and to take any action deemed appropriate including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to user profiles, e-mail addresses, usage history, posted materials, IP addresses and traffic information.

Digital Millennium Copyright Act.

Waypoint has registered an agent with the United States Copyright Office pursuant to the terms of the Digital Millennium Copy Right Act of 1998,  17 U.S.C. § 512 (“DMCA”).  Waypoint reserves the right to remove any material that is alleged to violate another individual’s copyright.  Any notices regarding alleged copyright infringement should be made in writing and directed to Waypoint’s legal counsel: Lisa Schreiner at Stam & Danchi, PLLC, 510 W. Waypoint reserves the right to change these Terms of Use at any time. Updated versions of the Terms of Use will appear on WAYPOINTLEGAL.COM and are effective upon posting. User is responsible for regularly reviewing the Terms of Use. Continued use of WAYPOINTLEGAL.COM after any such changes constitutes User’s consent to such changes.

Remedies for Violations.

Waypoint reserves the right to seek all remedies available at law and in equity for violations of these Terms of Use, including but not limited to the right to block access from a particular internet address to WAYPOINTLEGAL.COM and any other Provider web sites and their features.

Governing Law and Jurisdiction.

The Terms of Use are governed by and construed in accordance with the laws of the State of North Carolina and any action arising out of or relating to these terms shall be filed only in state or federal courts located within the State of North Carolina and User hereby consents and submits to the personal jurisdiction of such courts for the purpose of litigating any such action.

Disclaimer.

ALL CONTENT AND INFORMATION PROVIDED ON WAYPOINTLEGAL.COM IS “AS IS/AS AVAILABLE/WITH ALL FAULTS” AND WAYPOINT DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION (A) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR OR ORDINARY PURPOSE, INFRINGEMENT OR TITLE, (B) ANY WARRANTY OF QUALITY, FUNCTIONALITY, OPERABILITY, USE OR PERFORMANCE, (C) ANY WARRANTY OF THE ACCURACY, COMPLETENESS OR VALIDITY OF THE DATA OR INFORMATION COMMUNICATED, OR (D) ANY WARRANTY OF THE CONTINUOUS AVAILABILITY OF THE SERVICES, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE.

Limitation of Liability.

WAYPOINT SHALL NOT BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM THE USE OF WAYPOINTLEGAL.COM, THE CONTENT, THE POSTINGS, THE INTERACTIVE AREAS, ANY FACTS OR OPINIONS APPEARING ON OR THROUGH AN INTERACTIVE AREA, OR ANY THIRD PARTY COMMUNICATIONS. WAYPOINT SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE USE OF OR INABILITY TO USE WAYPOINTLEGAL.COM,  THE INTERACTIVE AREAS, THE CONTENT, THE POSTINGS, OR ANY THIRD PARTY COMMUNICATIONS. USER’S EXCLUSIVE REMEDY SHALL BE LIMITED TO THE AMOUNT OF CHARGES PAID BY USER TO ACCESS AND USE WAYPOINTLEGAL.COM.

Indemnification.

User agrees to indemnify, defendant and hold Waypoint, its officers, directors, employees, and agents harmless from and against all claims, losses, damages, judgments and costs, including reasonable attorneys’ fees, resulting from any intentional or unintentional violation of this Agreement by User or the violation of the intellectual property rights of any individual.

Entire Agreement.

This agreement contains the entire agreement between User and Provider with respect to the subject matter herein and supersedes any and all prior understandings and agreements, oral or written, related to the subject matter.
