Listing Service Agreement This Agreement (the “Agreement”) is made and entered into by and between North Carolina Information Data, Inc. (“Provider”), P.O. Box 1589, Fuquay-Varina, North Carolina 27526, and waypointlegal.com user (“User”),for a listing (“the Service”) on www.waypointlegal.com on the following terms and conditions. Your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge and agree to be bound by this Agreement, along with all other policies and terms and conditions associated with the use of waypointlegal.com which are hereby incorporated by reference. Recitals THAT, WHEREAS, www.waypointlegal.com is an online legal resource guide focused on NC lawyers and firms that offers lawyers and law firms directory listing services; and WHEREAS, www.waypointlegal.com uses the latest SEO methods to get lawyers and law firms in front of the people who require legal services; and WHEREAS, User desires to have a paid listing on www.waypointlegal.com; and NOW, THEREFORE, in consideration of the mutual promises set forth herein, and other good and valuable consideration, the parties agree as follows: • Listing Fee. User shall prepay to Provider the current annual listing fee for its listing on www.waypointlegal.com. Provider maintains three levels of listings for its users: (1) a free listing, (2) a standard listing, and (2) a premier listing. The current fee for each level of listing is published on www.waypointlegal.com and a list of benefits for each level of listing is attached hereto in the form of an addendum. The Addendum is incorporated herein by reference and made part of this Agreement. The current fee for a listing on www.waypointlegal.com is due and payable upon execution of this Agreement. Each year thereafter, prior to the expiration of the initial one-year term of this Agreement, User shall receive an automatically generated email from PAYPAL notifying User of the expiration of the current term. User’s failure to pay the listing fee within ten (10) days of receipt of PAYPAL notification shall result in the automatic removal of User’s listing from www.waypointlegal.com until the listing fee is paid in full. LISTING FEES MAY BE CHANGED BY PROVIDER AT ANY TIME WITHOUT NOTICE AND USER’S LISTING FEE SHALL BE DEEMED AUTOMATICALLY REVISED TO CONFORM TO SUCH PRICE CHANGES. Listing price changes will be posted on the Website as soon as possible after becoming effective. • No Refunds. User acknowledges and agrees that the annual listing fee is NON-REFUNDABLE. • Governing Law. This Agreement shall be subject to and governed by the laws of the State of North Carolina, irrespective of the fact that one or more of the parties may become a resident of a different state. • Counterparts.This Agreement may be executed in any number of counterparts, and all such counterparts together shall constitute but one and the same instrument; this Agreement may be executed by facsimile signature(s) or electronic signature, which shall be deemed for all purposes as original, handwritten signature(s) and fully valid. • Entire Agreement. This Agreement represents the complete and exclusive statement of the agreement and understanding of the parties with respect to the listing services provided hereunder, and supersedes all prior oral or written negotiations, representations, agreements, understandings and statements. • Modification. Except as otherwise stated above with respect to price changes, no changes in this Agreement may be made except by consent in writing by an authorized officer of the parties hereto.
